Strengthening Governance: A customised series for Board Directors

CCA is pleased to announce a customised Governance series developed to meet not-for-profit education community organisation Board needs.

This series includes online information and coaching sessions for CCA member Board Directors, Chairs and CEOs. The sessions have been designed to be accurate, useful, accessible and relevant to CCA member organisation concerns. They will be supported by information, resources and the opportunity to engage with an informal community of sector colleagues and leaders. Each session will be different.

In an effort to make these sessions as accessible as possible, each session will be presented twice: once during business hours on a Wednesday, with the session repeated the following Tuesday in the early evening.  The sessions will be engaging – delivered in a conversational rather than lecture style. Relevant expertise from within the sector will be engaged in each session.

There are five web sessions or modules in the series:

  1. Governance Fundamentals
  2. Confident Commercial Boardroom Conversations
  3. Industry Specific Knowledge
  4. Board Effectiveness and Culture and Advanced Governance
  5. Strategy and Risk Management

Each session will run for approximately 90 -120 mins with a 15 minute break and will be a standalone. CCA anticipates that the topics covered will appeal to a range of experience levels.

Facilitator – Jayne Blake

Jayne is an experienced governance consultant and has developed the  program content after surveying and talking with CCA member organisations. Jayne will facilitate the program in conjunction with a number of sector experts.

What do the sessions cover?

Session 1: Governance Fundamentals for Directors

Session Content:

  • Governance principles, general regulatory framework and key requirements
  • Director responsibilities, obligations and liabilities, understanding insolvency and safe harbour
  • Governance vs management
  • Ethics in the boardroom
  • Basics of cyber security principles, data protection and privacy

Target audience: New/inexperienced Directors or a refresher for experienced Directors.

Estimated session time: 120 minutes, including a 10-15 minute break.

Session 2: Confident Commercial Boardroom Conversations

Session content:

  • Financial acumen and reporting rigour, questions to protect yourself and your organisation
  • Understanding trends, key financial ratios and metrics
  • Solvency – how to monitor, and identify key trends/metrics
  • Brief discussion on need for funding diversity and sustainability & how to approach/target/monitor/measure

Target audience: Any new or experienced Director, who would like to improve their level of confidence in participating in financial and commercial discussions.

Estimated session time: 120 minutes, including a 10-15 minute break.

Session 3: Industry Specific Knowledge

Session content:

  • ACE grant and Smart and Skilled funds – information overview and Q&A
  • Funding opportunities and diversification of income – panel and Q&A and discussion

Target audience: New/inexperienced participants in the sector.

Estimated session time: 120 minutes, including a 10-15 minute break.

Session 4: Board Effectiveness and Culture

Session content:

Board recruitment/composition:

  • Director induction, onboarding and ongoing education essentials
  • Skills, diversity and inclusion best practices
  • Board recruitment, composition, succession planning and tenure
  • Constitutional change

CEO and Board relationships:

  • Role of Chair in addressing/resolving conflict in the boardroom
  • Solid CEO/Board relationships, CEO performance management, development and succession
  • Critical conversations: asking tough questions and respectfully challenging the CEO

Target audience: Experienced Directors and/or those that have completed Modules 1 – Governance Fundamentals for Directors and 2- Confident Commercial Boardroom Conversations above.

Estimated session time: 120 minutes, including a 10-15 minute break.

Session 5: Advanced Governance, Strategy and Risk Management

Session content:

  • Cyber security risk, principles, data protection and privacy best practices
  • Board and leadership role in strategic planning and ongoing monitoring of strategy
  • Decision making models
  • Risk management models, achieving balance and not stifling growth/innovation
  • Achieving balance between forward/backward and between long-term/short-term thinking

Target audience: Experienced Directors and/or those that have completed Module 1 – Governance Fundamentals for Directors, and 2 – Confident Commercial Boardroom Conversations above.

Estimated session time: 120 minutes, including a 10-15 minute break.
